 the VERY MOMENT  a member of the board of directors resigns, WinCAM is obligated to be honest with the public and:

1)Change the website. The website should be IMMEDIATE.  That's the non-profit "advertising" to the public, and the moment a board member resigns, the "corporate face" of a non-profit must reflect that.

Why?  So that if you have legitimate complaints against the organization you don't waste your time complaining to ex-board members.

IT IS THE ETHICAL THING TO DO.

Medford Community Cablevision, Inc. filed false names on its board of directors, discovered by this writer and VERIFIED by the City Solicitor of Medford in his excellent RUMLEY REPORT of 2-10-08.  

BUT, it was only when I had a document verified by a Federal employee who was off the board, Brian M., did I go to the Solicitor who then contacted two or three other individuals to find they were no longer on the board as well.
They did NOT KNOW they were still listed as board members when Brian M. said he had been "gone for years" since he moved to Somerville.

Medford TV3 President, Frank Pilleri, was found in a court of law to not be able to prove the assertion of perjury to be false (it was alleged that Pilleri committed perjury by filing the ex-board members intentionally on corporate documents because, allegedly, he didn't have the full board that he presented to the public.)

In a court of law, when Pilleri had his big chance to be honest, he could not prove "the assertion of perjury to be false."

BUT THE PUBLIC FUNDED TV3 MEDFORD AND HAD A RIGHT TO KNOW WHO THE HELL WAS ON THE BOARD OF DIRECTORS

 ALSO - WinCAM should file quickly with the AG and Sec. of State, even if they are given additional time.  Just get it done so the public knows, as a non-profit utilizing public monies, you are a good corporate citizen:

they should also in a timely manner

The other area of question had to do with language in the current WinCAM By-laws regarding the Open Meeting Law. What WinCAM has proposed is the elimination of the language that currently exists in the By-laws

GET THIS, CITIZENS PAYING FOR MEMBERSHIP OR A CABLE TV BILL,
WING WANTS TO EMBRACE KEEPING NON-RESIDENTS OUT, BUT SHE WANTS TO REMOVE THE OPEN MEETING LAW PART OF THE BY-LAWS

WING CHERRY PICKS TO BE MORE SECRETIVE WHILE ATTEMPTING TO EXCLUDE MEMBERS IN GOOD STANDING

SHE WON TWO AWARDS IN THE LAST FOUR YEARS WHEN THEY CLAIM MEMBERSHIP IS UP.

It destroys the SPIRIT OF ACCESS when your 9 year old daughter or son is in a competition with the President of WinCAM who FAILED to hear a complaint on 5/31/12 and was REWARDED by the person complained about,
David Gauthier, executive director, with a "PRODUCER OF THE YEAR."

ALLEGATION:
So Gauthier REWARDED Wing crowning her the Queen of WinCAM when Wing scuttled the investigation into Gauthier's wrongful conduct.
The logical mind can't read it any other way.  


Why would your children or your seniors want to compete for an award with the Queen of Wincam - attorney, president, producer of the year, bon vivant of WinCAM, glorifying herself above your hard work and honest efforts, and displaying envy, seething with jealousy at a board meeting throwing down a producer's hard work while allowing herself to be praised.

Truly sick and twisted and why Wing needs to look long and hard in the mirror and RESIGN.
 
WinCAM is damaged by Wing's actions, and Wing doesn't have 1/100th of this writer's experience in access TV spanning 35 years.

Melodie Wing hasn't been seen interacting with other access stations, and the closed-mind of the "president' stifles Winchester, stagnates growth, and chokes the life out of the access TV station.  It is hideous.

NOTE TO MELODIE WING:
To have a background in non-profits, as you claim, and to not want to embrace the Open Meeting Law that is in the By-laws, BUT wanting to enforce the By-law of no outside members, IS PICKING AND CHOOSING WHAT MELODIE WING WANTS TO SERVE WING'S PURPOSES, not the community.

The fact that this writer has arguably created and hosted more Winchester-oriented programming than Wing and that Wing is trying to bully the Medford resident out the door is one example of Wing allegedly playing fast and loose with the By-laws.

Ms. Wing explained that WinCAM feels that the language proposed in the amendment is consistent with the bylaws and WinCAM would want to continue to have a minimum number of meetings open to the public. She pointed out that it has been suggested that having all meetings open to the public provides oversight of an organization that receives funding through public contract. She suggested that the public oversight and accountability is already in place whether the public attends or not.


Ms. Wing informed the Board that the reason that WinCAM chose to go in this direction is that the current bylaws require WinCAM to have at least three regular meetings during the course of the year, all of which must be open to the public.

Then there's the charlatan "executive director" being very clear that he doesn't give a damn about the rules for himself:

The logical mind concludes that the E.D. is marching lock-step with the president. The rules apply to YOU, the public THEY are supposed to SERVE, but they will TWIST the rules - Wing doesn't want to abide by the By-laws and follow the Open Meeting Law, but she wants to remove programming from members who don't live in Winchester.

Forked-Tongue Melodie Wing serves herself by cherry picking the rules in as obnoxious a fashion as Francis R. Pilleri, Jr., the "president' of a non-profit dissolving that had a TV station shuttered for exactly those kind of practices.

own background is in working with non-profit entities. Some of 

the things that it is hoped will be addressed by the by-laws are

Schindelman and Pearson have left the board.
Didn't it take them months to remove the last person who exited the board?

And what does that say about the "Unholy Trio" of Melodie A. Wing, Peter Pongratz and Allan J. Eyden that new board members vanish while the ECoW (Entrenched Cronies of Winchester) hold on to power with so much negativity swirling around the embattled 501c3?

 WHY IS WinCAM so duplicitous?

Melodie A. Wing and David Gauthier's statements appear to be, are allegedly, in direct conflict with their actions.

Melodie Wing to the Selectmen Board - and understand this when you read to see the hypocrisy of Ms. Wing:

1)WinCAM has had members from outside of Winchester for 10 years.  They want to shut the door on January 1, 2015 because it is not in the By-laws, but they ignored  the By-laws for 10 years.

2)Melodie Wing wants to remove the Open Meeting Law segment of the By-laws because she doesn't want to be transparent.

Melodie Wing wants it both ways.  She wants to exclude people they included using the excuse of the By-laws, but she doesn't want to obey the Open Meeting Law rule of WinCAM's By-laws because the AG's office purportedly doesn't require it.

Melodie Wing's self-serving propaganda and her overstaying her welcome - as well as her failure to address harassment in a timely manner (thereby making memories less clear, as any attorney knows, intentionally dragging her feet makes it harder to press charges or complaints against the guilty parties) are three reasons, prima facie evidence, for the Issuing Authority in Winchester to demand the board of WinCAM remove Melodie A. Wing from serving on the board any longer.
